1. Acceptance of Terms
By accessing and using Empire Auto Consulting's services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Services Description
Empire Auto Consulting provides automotive dealership consulting services, including but not limited to sold customer re-engagement processes, incremental unit generation, proprietary process installation, and performance monitoring. Our services are designed to help automotive dealerships generate net-new car deals from their existing sold customer database.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information about your dealership operations and sold customer history
- Implement the recommended process with your sales staff in good faith
- Maintain confidentiality of proprietary consulting methodologies
- Pay all fees according to the agreed payment schedule
- Comply with all applicable laws and regulations in your business operations
4. Payment Terms
All consulting fees are due and payable in full prior to the commencement of any service agreements. Empire Auto Consulting requires payment to be received before any consulting work begins to ensure a smooth and professional service delivery.
Payment terms and amounts will be specified in individual service agreements. Empire Auto Consulting reserves the right to delay or suspend the start of services until full payment is received.
5. Confidentiality
Both parties agree to maintain strict confidentiality regarding all business information, strategies, methodologies, and data shared during the consulting relationship. This includes but is not limited to our proprietary re-engagement process, client dealership data, and sold customer information. This confidentiality obligation survives the termination of services.
6. Results Disclaimer
While Empire Auto Consulting has a proven track record of helping dealerships generate incremental units from their sold customer database, results may vary based on market conditions, database size and quality, implementation quality, and other factors beyond our control. Past performance does not guarantee future results.
7. Limitation of Liability
Empire Auto Consulting's liability shall not exceed the total amount paid for services in the applicable engagement. We shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services.
8. Termination
Either party may terminate the consulting relationship with 30 days written notice. However, once services have commenced, clients who choose to terminate the agreement will not be eligible for any refund of fees paid, as our consulting resources and expertise will have been allocated and delivered according to the agreed service plan.
9. Intellectual Property
All methodologies, processes, systems, and materials provided by Empire Auto Consulting remain the intellectual property of Empire Auto Consulting. Clients are granted a limited, non-transferable license to use these materials solely within the scope of their engagement. No reproduction, resale, or transfer of proprietary materials is permitted without express written consent.
10. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction where Empire Auto Consulting is headquartered, without regard to conflict of law principles.
